The mission of the Surprise Valley Community And Visitor Center is to preserve and protect the integrity of the Surprise Valley Community by promoting historic preservation, supporting sustainable economic development and enhancing the visitor experience on public and private land. The first project is to raise funds for a community/visitor center. As a gateway to the Black Rock Desert, High Rock Canyon, Emigrant Trails, the National Conservation Area, the northwestern Great Basin and the Warner Mountains we want to help preserve the area by providing accurate information to the public that will encourage them to stay safe and leave no trace. We have a mall for your internet shopping providing special discounts that are not available elsewhere. With over 400 stores there is most likely an internet store that will give you a great shopping experience and a desire to return. The mall stores have all agreed to give us a small percentage of their profit from sales to you - our visitor - without any cost to you. A real win - win situation. We meet on the 3rd Wednesday of the month at the Senior Center on Main St. and Bonner St. after the Surprise Valley Chamber of Commerce meeting about 1pm. Dues are $20.00 per year. Mail to SVCAVC, PO Box 193, Cedarville, Ca or pay online.
History of the Organization. A memorandum of understanding was developed in June of 2005. We have 23 partners. BYLAWS OF SURPRISE VALLEY COMMUNITY AND VISITOR CENTER 2006
ARTICLE I The Surprise Valley Community and Visitor Center, a non-profit California corporation, has the mission and the specific purpose as is a stated in the Memorandum of Understanding (MOU) dated July 2006 and the articles of incorporation filed with the State of California on June 13, 2006.
ARTICLE II SECTION I. MEMBERSHIP Voting members shall be residents of Modoc County who have paid their annual dues. Dues are Ten dollars ($10.00) and are payable each January.
SECTION II. MANAGEMENT: The management, general business control and the affairs of the corporation are vested in the board of directors. The board will consist of five (5) officers designated as president, vice president, secretary, treasurer and historian. The initial board of directors will be appointed at the first official organization meeting and will serve an initial term of one year except for the president who will serve an initial term of two (2) years. The members at the annual meeting thereinafter will elect the board of directors who will serve two (2) year terms. The board will determine the individual officers at their first meeting. Board will represent diverse interests.
SECTION III. NOMINATION COMMITTEE AND ELECTIONS: Each November, the nominating committee, appointed by the board of directors, will prepare a list of candidates willing to serve. This list will be distributed to the membership the first week of December and will include space for a write-in candidate. Election will be conducted at the first meeting in January. The winning candidates will be announced immediately after the count is complete and will begin service at the conclusion of the meeting.
SECTION IV. VACANCY: In case of vacancy during the term of a director, the board will appoint a replacement to serve the remainder of the term of that position.
SECTION V. REMOVAL: Any director that fails to attend two consecutive meetings without just cause may be terminated by the vote of the directors.
SECTION VI. DUTIES OF DIRECTORS: A. The president, subject to direction and control of the board, shall preside at all the meetings, supervise and control all the business and affairs of the corporation. The president shall have other powers and duties as are usually incident to the office of president and as may be vested in the office by the board.
B. The vice president, subject to direction and control of the board, in the absence of the president will perform the duties of the president. The vice president shall have other powers and duties as are usually incident to the office of vice president and as may be vested in the office by the board.
C. The secretary, subject to direction and control of the board, shall give notices of meetings to the membership and keep a record of all official actions. The secretary shall have other powers and duties as are usually incident to the office of secretary and as may be vested in the office by the board. In the absence of the secretary, another board member shall perform the duties of secretary.
D. The treasurer, subject to direction and control of the board, shall have general charge of the financial affairs of the corporation; keep accurate books of accounts according to standard business practices. The treasurer shall submit reports of the financial affairs of the corporation at all meetings and as requested by the board. The treasurer shall have other powers and duties as are usually incident to the office of treasurer, as may be vested in the office by the board including the development of a budget and audit report. In the absence of the treasurer, another board member shall perform the duties of treasurer.
E. The historian, subject to the direction and control of the board, shall research, document and display information pertaining to this region to help preserve and maintain the historical heritage of this area. The historian shall have other powers and duties as are usually incident to the office of historian and as may be vested in the office by the board. In the absence of the historian, another board member shall perform the duties of historian.
SECTION VII. COMMITTEES: Committees shall be established or discontinued and the members appointed by the board of directors as needed. Standing committees will be nominating and financial/audit committee.
SECTION VIII. MEETINGS: A. The corporation will have an annual meeting each January at a time and date determined by the board of directors. i. Notice of the meeting will be made 10 to 30 days before the meeting by public notice.
ii. The agenda at the annual meeting shall include officers’ reports, officers’ election, a review of the annual report for the previous fiscal year, a discussion of projects and plans for the current year and the announcement of the new board of directors.
B. The board of directors shall meet at least monthly.
C. A majority of the board of directors may call a special meeting. At least forty-eight hours notice shall be given to each board member.
D. A quorum of board members shall consist of a majority. A quorum of members shall consist of a majority.
SECTION IX. FISCAL POLICY: 1. No officer shall authorize expenditures in excess of one hundred dollars ($100.00) without board concurrence.
2. All checks will be signed by at least two (2) officers.
3. No reimbursement can be made to any member without prior authorization for the expenditure and an official receipt.
4. The board shall determine the banking facility to use for checking and savings. All accounts shall be opened in the name of Surprise Valley Community And Visitor Center.
ARTICLE III SECTION I. AMENDMENTS: These bylaws may be amended at any meeting of the Surprise Valley Community and Visitor Center by a quorum of the membership with 10 days prior notice.
SECTION II. DISSOLUTION: The assets remaining after payment or provision of payment of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable purposes, established its tax exempt status under Section 501©(3), Internal Revenue Code and is local to Surprise Valley or Modoc County.
